At Websense, ethical business practices are fundamental to our shared corporate values. Our management team and Board of Directors have created policies and procedures that provide a framework for ethical business practices within the company. Highlights:
- Every Websense employee is required to sign and adhere to a strict Code of Business Conduct designed to help employees achieve and maintain the highest standards of ethical conduct.
- A majority of our Board members are independent of the Company and its management, and independent Board members meet regularly without management.
- Our independent auditors, Ernst and Young LLP, report directly to the audit committee.
- The Company has a clear code of ethics for the CEO, Senior Financial Officers and all finance and accounting department personnel to ensure that financial information is accurate, timely and understandable, and that conflicts of interest are avoided.
- The Company maintains a Confidential Compliance Hotline for all employees to facilitate anonymous reporting of code of conduct or compliance violations.
